Update PAN, KYC and Nomination
SEBI, in circular no. SEBI/HO/MIRSD/MIRSD_RTAMB/P/CIR/2021/655 dated 3rd November 2021, made it mandatory for all shareholders holding shares in physical mode to furnish PAN, KYC, nomination and bank account details to the Company. Folios where any of these details are not available on or after April 01, 2023 shall be frozen. Forms to update these details are available in the Download section.
Dematerialization of Shares
By amendment to Regulation 40 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 dated 8th June 2018, transfer of securities is permitted only in dematerialised form with effect from December 5, 2018. Shareholders holding shares in physical mode are requested to dematerialise their holdings with their Depository Participant.
Merger Updates
Amalgamation of Surcot Trading Pvt. Ltd. and Umiya Real Estate Pvt. Ltd. with Stanrose Mafatlal Investments and Finance Limited: the Company received a No-Objection Certificate from BSE Limited/SEBI on 14th November 2018. The NCLT-Ahmedabad Bench, by order dated 16th January 2019, approved convening the meeting of equity shareholders on 22nd February 2019 and waived the meeting of creditors. The Company subsequently obtained approval from the shareholders in the NCLT-convened meeting, the Registrar of Companies, the Regional Director and the Official Liquidator.
Dividend Declared
The Board of Directors, at its meeting held on 29th June 2020, recommended a dividend of Rs. 6/- per share (60%) for the financial year 2019-20 for the approval of shareholders at the Annual General Meeting dated 29th August 2020. The shareholders approved the dividend and it was paid from 9th September 2020.
Make Nomination
Sole holders in physical form are advised to make a nomination by submitting the prescribed form to the Registrar in duplicate. The form is available in the Download section.
